Terms and Conditions
1. General
By accepting our offers, order confirmations, delivery notes, agreements, or invoices, the customer agrees to these general terms and conditions. These terms form an integral part of the agreement between the seller and the customer, including any distance sales contracts.
Any deviations from these terms are only valid if agreed upon in writing by the seller.
The seller reserves the right to amend these terms unilaterally at any time.
The customer’s terms and conditions are not applicable unless expressly accepted in writing by the seller. Silence on the part of the seller does not imply acceptance of the customer’s terms and conditions.
2. Prices
All prices are based on current unit rates at the time of the agreement. The seller reserves the right to adjust prices if there are increases in supplier costs, raw material prices, labor rates, or other factors.
Price adjustments are calculated using a predefined formula:
p = P × (0.40 × (s/S) + 0.40 × (i/I) + 0.20)
Where:
- p = revised price
- P = original price
- s/S = current and original wage index values
- i/I = current and original material index values
Unless stated otherwise, offers remain valid for four weeks. Prices exclude VAT, transport costs, packaging, and other surcharges. Additional fees may apply for non-standard packaging or deliveries outside of Belgium.
For orders below €350.00, an administrative fee of €25.00 may apply.
3. Payment Terms
Payments are due at the seller’s registered office unless otherwise agreed in writing.
For product orders, an advance payment of 35% is required at least 14 days before delivery unless specified otherwise. All invoices are payable in cash without discount. Late payments incur a 12% annual interest and liquidated damages of 10% (minimum €80.00).
If a customer defaults on payments, the seller may suspend further deliveries or services until all outstanding amounts are settled. Order cancellations by the customer incur a penalty of 40% of the purchase price (minimum €248) plus any completed work or custom goods costs.
Invoice disputes must be made in writing within eight days of the invoice date, or the invoice will be deemed accepted.
4. Intellectual Property
All designs, studies, and related materials provided by the seller remain their intellectual property. Customers may not share or reproduce these materials without prior written consent.
5. Retention of Title
Ownership of delivered goods remains with the seller until full payment is received. Until ownership transfers, goods may not be sold, pledged, or otherwise encumbered by the customer.
Risk for the goods transfers to the customer upon delivery. The customer is responsible for insuring and maintaining the goods while in their custody.
6. Delivery
Delivery times are indicative and non-binding. The seller is not liable for delays caused by force majeure or other factors. Partial deliveries may occur at the seller’s discretion.
If delivery is delayed due to the customer’s actions, additional storage or transport costs may apply.
7. Complaints
Customers must inspect goods upon delivery and report any issues in writing within eight working days. Failure to do so constitutes acceptance of the goods as delivered.
8. Warranty
Unless specified otherwise, a one-year warranty is provided. This excludes damages caused by misuse, poor maintenance, or external factors. Warranty claims are valid only when the customer has fulfilled all payment obligations.
9. Customer Responsibility
Customers must provide accurate and complete information necessary for fulfilling the agreement. Any delays caused by missing or incorrect information may incur additional costs.
10. Liability
The seller’s liability is limited to mandatory legal obligations. Indirect damages, such as loss of revenue or profits, are not covered.
Compensation for damages, if applicable, will not exceed 5% of the contract value or the seller’s insurance coverage.
11. Privacy
The seller processes personal data in compliance with GDPR regulations. For details, refer to our privacy policy on our website.
12. Governing Law and Jurisdiction
These terms are governed by Belgian law. Any disputes will be settled by the courts of [insert applicable jurisdiction, e.g., Brussels].
13. Additional Provisions
Custom or special-order items are non-returnable. The seller reserves the right to terminate agreements in cases of bankruptcy or significant legal changes involving the customer.
